Shams represents some of the nation’s largest corporations, investors, developers, & private equity firms in their commercial real estate, syndication and fund formation matters. Previously, Shams practiced commercial real estate law at the largest law firm in Texas representing the nation’s largest real estate developer.

Shams focuses his commercial real estate law practice on all aspects of commercial real estate transactions and private equity matters, including leases (office, industrial, retail, build-to-suit, ground, and sale/leaseback), acquisitions and dispositions (office, industrial, hotel, retail, self-storage, medical, multi-family and mixed-use), financing (interim, construction, permanent, mezzanine, CMBS, and life insurance), development (office, industrial, hotel, retail, self-storage, medical, multi-family and mixed-use), private placements and fund formations (including Reg. 506(c) and 506(b)). His practice is Texas-based but national in scope, and he has a blue-chip base of clients. These clients include well-known Texas developers, leading investment funds of all kinds, regional and national companies, and other major real estate players. Shams has represented some of the largest corporations in the world on their commercial real estate transactions and has assisted in 4 $100,000,000+ transactions in his career.

Shams regularly handles complex real estate matters for private equity firms, real estate funds, private investment groups, financial institutions, owners, and developers. His practice includes representing these clients in their real estate private equity matters, syndications, fund formations, securities & corporate work. He also represents both landlords and tenants in commercial leasing of downtown and suburban office buildings, retail projects, adaptive reuse projects, mixed-use & lifestyle centers, and industrial warehouses.

Shams is known for his ability to get deals done while looking out for his client’s interests. An efficient and effective attorney, Shams works quickly and breaks things down for his clients.

In his real estate syndication and fund formation law practice, Shams structures and forms real estate syndications and real estate investment funds for the largest and most active private equity firms in the country as well as new and emerging real estate investors and developers. His fund formation services include Regulation D, 506(b) and 506(c) syndications, blind pool funds, discretionary funds, closed-ended and open-ended funds, single-asset syndications, real estate crowdfunding, Regulation A capital raises, debt funds, fund of funds and various other real estate securities and investment vehicles. Shams also counsels his clients on all aspects of securities law compliance and files Form D with the SEC and state blue-sky notices as necessary.

Shams received his B.B.A., magna cum laude, from the University of Houston Bauer College of Business, where he achieved various awards during the course of his undergraduate career studying finance. He then obtained his J.D., from the University of Houston Law Center, where he focused his studies on real estate law and made the highest grade in his law school class in multiple classes.
